1. Introduction & Acceptance of Terms

This website, deshanait.com (hereinafter referred to as the "Site" or "Platform"), is owned, operated, and maintained by Deshana IT – A Unit of Deshana Enterprises Pvt. Ltd., a digital technology company registered and operating under the laws of India, with its principal place of business in Jaipur, Rajasthan.

By accessing, browsing, or using this Site — or by engaging Deshana IT for any service — you unconditionally accept and agree to be legally bound by these Terms and Conditions, our Privacy Policy, and any additional guidelines referenced herein.

If you do not agree to any part of this agreement, you must immediately discontinue accessing or using this site and any associated services.

2. Definitions

• "Site" — deshanait.com and all associated subdomains, pages, and content.
• "Services" — All digital services offered by Deshana IT, including web design, development, mobile apps, SEO, digital marketing, hosting, domain registration, software development, and IT training.
• "User" — Any individual or entity accessing the Site.
• "Client" — Any individual or entity that has entered into a service agreement with Deshana IT.
• "Content" — All text, graphics, images, code, software, data, and other material available on the Site.
• "Project" — Any deliverable created by Deshana IT for a Client under a service agreement.

3. Intellectual Property Rights

3.1 Ownership of Site Content

All content published on this Site is the exclusive property of Deshana IT – A Unit of Deshana Enterprises Pvt. Ltd. or its licensed content suppliers and is protected under applicable Indian and international intellectual property laws, including the Copyright Act, 1957 (India).

3.2 Restrictions on Use

• Copying, reproducing, or distributing any portion of this Site without prior written consent.
• Modifying, adapting, or creating derivative works based on Site content.
• Reverse engineering or decompiling any software used in the Site.
• Using our name, logo, or trademarks without express authorization.
• Framing or mirroring any part of the Site on any other website.
• Scraping or using automated tools to extract data from the Site.

3.3 Client Project Ownership

Upon full payment, the Client receives ownership rights to final deliverables as specified in the project agreement. Pre-existing assets, frameworks, and proprietary methodologies remain Deshana IT's property.

3.4 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for evaluating and engaging our services.

4. Services & Engagements

4.1 Scope of Services

Deshana IT provides web design and development, mobile application development, SEO, digital marketing, web hosting, domain registration, software development, bulk SMS/voice, and IT training. Specific scope, deliverables, timelines, and pricing are governed by individual project proposals.

4.2 Service Availability

We reserve the right to modify, suspend, or discontinue any service at our discretion, with or without prior notice.

4.3 Accuracy of Information

While we strive for accuracy, Deshana IT makes no warranties regarding the completeness or timeliness of any content. We reserve the right to correct errors at any time.

5. Third-Party Links & Services

The Site may contain hyperlinks to third-party websites. These do not constitute an endorsement. Deshana IT assumes no responsibility for third-party content or privacy policies.

Our services may integrate third-party tools, plugins, APIs, or platforms. Your use of such tools is subject to their respective terms of service.

6. User Obligations & Prohibited Conduct

• Do not use the Site for any unlawful, fraudulent, or malicious purpose.
• Do not upload material that is defamatory, obscene, or infringes intellectual property rights.
• Do not attempt unauthorized access to any portion of the Site or its servers.
• Do not introduce viruses, malware, or other harmful code.

Violation may result in immediate termination of access and may be reported to law enforcement.

7. Payment Terms

7.1 Pricing

All pricing is quoted in Indian Rupees (INR) unless otherwise specified. Prices on the Site are indicative and subject to change.

7.2 Payment Schedule

Projects typically require advance payment before work commences, with balance due upon completion or at agreed milestones. Deshana IT may pause work on projects where payments are overdue by more than 7 calendar days.

7.3 Taxes

All applicable taxes, including GST, are the Client's responsibility and will be reflected in invoices.

8. Cancellation & Refund Policy

8.1 Cancellation Window

Cancellation may be requested within 7 calendar days of initial payment, provided work has not commenced. Submit requests to sales@deshanait.com.

8.2 Post-Commencement

Cancellations after work begins are evaluated case-by-case. Refunds are proportional to work completed. No refund for completed or approved milestones.

8.3 Non-Refundable Items

• Domain registration fees
• Hosting fees for activated periods
• Third-party licenses purchased for your project
• Work completed and approved in writing

8.4 Refund Processing

Approved refunds are processed within 14 business days via the original payment method.

8.5 Training Programs

Training fees are non-refundable once the program has commenced. Deferral may be considered subject to availability.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination. Neither party shall disclose such information to third parties without prior written consent.

10. Disclaimer of Warranties

The Site and Services are provided on an "AS IS" and "AS AVAILABLE" basis. Deshana IT disclaims all warranties including:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties of uninterrupted or error-free operation
• Warranties regarding accuracy or completeness of content

11. Limitation of Liability

Deshana IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Services.

Total aggregate liability shall not exceed the amount paid by the Client in the three (3) months preceding the event.

Nothing in this Agreement limits liability for death or personal injury caused by gross negligence or fraud.

12. Indemnification

You agree to indemnify and hold harmless Deshana IT from any claims, liabilities, damages, losses, and expenses arising from your use of the Site, violation of this Agreement, or violation of any third-party rights.

13. Modifications to This Agreement

Deshana IT reserves the right to amend these Terms at any time. Continued use of the Site following changes constitutes acceptance. If you disagree, discontinue use immediately.

14. Privacy Policy

Your use of this Site is also governed by our Privacy Policy, incorporated by reference, describing how we collect, use, store, and protect your personal information in accordance with the Information Technology Act, 2000 (India).

15. Termination of Access

Deshana IT may terminate or suspend your access at any time, with or without notice, for any reason including breach of this Agreement.

Upon termination, provisions relating to intellectual property, disclaimers, indemnification, and limitation of liability survive.

16. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Republic of India. All disputes are subject to the exclusive jurisdiction of courts in Jaipur, Rajasthan, India.

Both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, the matter may be escalated to formal legal proceedings.

17. Force Majeure

Deshana IT shall not be liable for any failure or delay resulting from circumstances beyond reasonable control, including acts of God, pandemics, government actions, internet outages, or civil unrest.

18. Severability

If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary. Remaining provisions continue in full force.

19. Entire Agreement

This Agreement, together with our Privacy Policy and any individual project agreements, constitutes the entire agreement and supersedes all prior understandings.
